Franco Foods Inc. (“Franco Foods,” “we,” “us,” or “our”) operates as a food distribution company based in Puerto Rico, providing products and services throughout the United States. By engaging in any business relationship with Franco Foods Inc.—including, but not limited to, placing orders, receiving deliveries, or utilizing any of our services—you (“Customer,” “Buyer,” or “you”) agree to be legally bound by the following Terms and Conditions (“Terms of Service” or “Terms”), including any additional terms, policies, or guidelines referenced herein or made available through our communications.

These Terms govern all transactions, agreements, and interactions between Franco Foods Inc. and any customer, partner, or third party, including without limitation, retailers, resellers, vendors, merchants, and contributors. They apply to the sale, purchase, and distribution of all food products and related services offered by Franco Foods.

Our operations encompass the sourcing, sale, and distribution of dry food products and related goods (“Products”) to both retail clients and wholesale resellers. These Terms apply uniformly across all channels through which Franco Foods conducts business.

Any new services, features, or operational tools introduced by Franco Foods Inc. will also be subject to these Terms. We reserve the right to amend, update, or revise any portion of these Terms at our sole discretion. Changes will be communicated through appropriate channels, and it is your responsibility to review any updates. Continued engagement with Franco Foods Inc. following such changes will constitute your acceptance of the revised Terms.

If you do not agree to these Terms in full, we advise that you refrain from initiating or continuing any business relationship with Franco Foods Inc.

1. Definitions

  • Customer: Any individual, business, or entity purchasing products or services from Franco Foods Inc.

  • Products: All food items, beverages, and related goods offered for sale by Franco Foods Inc.

  • Services: Any distribution, delivery, or support services provided by Franco Foods Inc.

  • Order: A request by the Customer to purchase Products or Services from Franco Foods Inc.

  • Agreement: Any written or verbal contract, purchase order, or confirmation of sale between Franco Foods Inc. and the Customer.

2. Intellectual Property and Acceptable Use

2.1 Intellectual Property: All intellectual property rights associated with Franco Foods Inc.—including, but not limited to, copyrights, trademark rights, patent rights, and design rights—are the exclusive property of Franco Foods Inc. or its authorized licensors. This encompasses all branding and proprietary materials used by the company, such as trademarks (both word and figurative marks), trade names, service marks, logos, packaging designs, marketing assets, illustrations, and imagery.

These rights are protected by applicable intellectual property laws and international treaties. Unauthorized use, reproduction, or distribution of any intellectual property belonging to Franco Foods Inc. is strictly prohibited and may result in legal action.

2.2 Acceptable Use: By agreeing to these Terms of Service, you confirm that you are at least the age of majority in your state or province of residence, or that you are of legal age and have provided consent for any minor dependents under your care to access and use this website. You are strictly prohibited from using our products or services for any unlawful or unauthorized purpose. In the course of using this website or any affiliated services, you must not violate any local, national, or international laws, including but not limited to intellectual property and copyright laws. Furthermore, you must not transmit any viruses, malware, or other malicious code of a destructive nature.

2.3 Hyperlinking: You may link to our site provided the link does not portray Franco Foods Inc. in a misleading, derogatory, or offensive manner. We reserve the right to request the removal of any link at our discretion.

2.4 User-Generated Content: Users may submit reviews or comments. By doing so, you grant Franco Foods Inc. a perpetual, irrevocable, royalty-free license to use, reproduce, and publish such content globally. You are solely responsible for your submissions and warrant that they do not violate any laws or third-party rights. We reserve the right to remove inappropriate or unlawful content. We comply with the Digital Millennium Copyright Act (DMCA). If you believe that any content on our website infringes upon your copyright, please notify us with sufficient detail for investigation and removal.

Any breach of these Terms will result in the immediate termination of your access to our services, without prior notice.

3. Product Information

3.1 Product Availability: Certain products or services may be offered exclusively through our website and may only be available in limited quantities. Such items are subject to return or exchange solely in accordance with our published Return Policy.

3.2 Product Accuracy: We strive to ensure that all product descriptions, images, ingredients, nutritional information, and pricing provided on our website are accurate and up to date. However, we do not warrant that such information is always complete, reliable, current, or free from errors. Variations in product size, weight, appearance, and packaging may occur. Unless explicitly stated otherwise, all food items are sold by weight.

3.3 Product Quality: Franco Foods Inc. guarantees that all Products meet applicable food safety standards and regulations at the time of delivery, including compliance with Puerto Rico and U.S. federal laws (e.g., FDA and USDA regulations).

3.4 Product Disclaimers: We make no warranty that the quality of any products, services, information, or other material obtained by you will meet your expectations, nor do we guarantee that any errors in the Service will be identified or corrected. We reserve the right, though not the obligation, to restrict the sale of our products or services to any individual, geographic area, or jurisdiction. This right may be exercised at our sole discretion and on a case-by-case basis.

3.5 Allergens and Dietary Restrictions: Customers with food allergies or dietary restrictions must carefully review ingredient information prior to purchase. While we take precautions to minimize cross-contamination, our facilities may process common allergens such as nuts, dairy, wheat, soy, and others. We do not guarantee that any product is allergen-free. Customers with severe allergies are advised not to purchase our products.

3.6 Food Safety: Customers are responsible for proper storage and handling of food items after delivery. Franco Foods Inc. is not liable for any food borne illnesses resulting from improper handling or storage of our products. All food safety guidance provided should be followed to prevent risk of contamination or illness.

4. Ordering and Acceptance

4.1 Order Placement: Orders are processed during regular business hours, Monday through Friday, excluding public holidays. Processing and delivery timelines may vary based on product availability, order volume, and shipping destination. Orders may be placed via phone 863-399-9571, email (mail.francofoods@gmail.com), our website (https://francofoodsinc.com), or through an authorized sales representative. All orders are subject to acceptance by Franco Foods Inc. Your submission of an order does not constitute acceptance. We reserve the right to refuse or cancel any order for reasons including but not limited to inventory availability, pricing or product information errors, or suspicion of fraud.

4.2 Order Confirmation: Orders are not binding until confirmed by Franco Foods Inc. in writing or through delivery of the Products. You will receive an order confirmation upon submission, which is only an acknowledgment of receipt. A binding contract is formed upon shipment of your order. Franco Foods Inc. reserves the right to refuse or cancel any order at its discretion, with notice to the Customer.

4.3 Minimum Order Requirements: Certain Products may have minimum order quantities, which will be communicated at the time of order placement.

4.4 Modifications: Changes to an order after confirmation may not be possible or may incur additional charges. Contact Franco Foods Inc. immediately if modifications are needed.

5. Pricing and Payment

5.1 Pricing: Prices for Products and Services are as quoted at the time of order confirmation. Product prices are subject to change at any time without prior notice, but changes will not affect confirmed orders. Additionally, we reserve the right to modify, suspend, or discontinue any aspect of the Service, including product offerings or content, at our sole discretion and without notice. Franco Foods Inc. shall not be held liable to you or any third party for any changes in pricing, modifications, suspension, or discontinuation of the Service.

5.2 Taxes and Fees: The Customer is responsible for all applicable sales taxes, duties, and other government charges unless otherwise agreed in writing. Any additional delivery or handling fees will be disclosed at the time of order.

5.3 Payment Information: By engaging in transactions with Franco Foods Inc., you agree to provide current, complete, and accurate information required for all business activities. This includes, but is not limited to, your contact information, billing details, and payment credentials such as credit card numbers and expiration dates.

You also agree to promptly update any information as necessary to ensure accurate processing of orders, fulfillment of deliveries, and effective communication. Maintaining up-to-date and accurate information is essential for Franco Foods Inc. to fulfill its obligations and deliver a seamless service experience to all customers and partners.

5.4 Payment Terms:

  • Payment is due as specified in the invoice or agreement (e.g., net 30 days for approved accounts).

  • New Customers may be required to pay in advance or upon delivery until a credit account is established.

  • Accepted payment methods include bank transfers, checks and e-checks, subject to approval.

5.5 Late Payments: Overdue invoices may incur a late fee of 1.5% per month (or the maximum allowed by law) on the outstanding balance. Franco Foods Inc. reserves the right to suspend deliveries or services for accounts with overdue payments.

5.6 Credit Approval: Extension of credit is subject to Franco Foods Inc. approval and may require submission of financial information or references.

5.7 Account Information: Certain services or business functions provided by Franco Foods Inc. may require customer or partner registration. If you choose to register with Franco Foods Inc. for any purpose—such as placing orders, accessing account-specific services, or participating in distribution programs—you agree to provide accurate, complete, and up-to-date information at the time of registration. You are also responsible for maintaining and updating this information as needed to ensure its accuracy.

Your registration details, including any assigned or chosen usernames, passwords, or access credentials, must be kept secure and confidential. These details are protected in accordance with our Privacy Policy and are intended solely for your authorized use. Misuse or unauthorized disclosure may result in suspension or termination of access to Franco Foods Inc.’s services.

6. Delivery and Shipping

6.1 Delivery Terms: Delivery schedules and methods will be agreed upon at the time of order. Delivery times are estimates and are not guaranteed. We are not responsible for carrier delays or conditions beyond our control. Franco Foods Inc. will make reasonable efforts to meet requested delivery dates but is not liable for delays due to unforeseen circumstances (e.g., weather, transportation issues). Shipping and delivery charges are calculated based on the total weight, destination, and delivery method selected at checkout. All applicable fees will be clearly stated prior to finalizing your order.

6.2 Delivery Requirements: Customers are responsible for ensuring that the delivery location is accessible and able to receive the order during the specified delivery window. In the event of a failed delivery due to inaccessibility or absence, additional fees may apply for rescheduling. Due to the perishable nature of our products, someone must be present at the delivery location. Products will be shipped with appropriate cooling methods, whenever required, and the customer assumes responsibility for prompt refrigeration upon receipt. Franco Foods Inc. is not responsible for spoilage due to missed deliveries.

6.3 Shipping Terms: We do not ship to P.O. boxes; a physical address is required. Shipping costs are the customer’s responsibility. Shipping restrictions may apply to certain states based on regulatory or logistical limitations. Customers are responsible for compliance with all applicable local and state regulations related to the shipment and receipt of food products.

6.4 Shipping Methods: We utilize reputable carriers and freight services to ensure safe and timely delivery. The shipping method used will depend on the size, weight, and destination of the order. Expedited shipping options may be available at an additional cost.

6.4 Risk of Loss: All products purchased from Franco Foods Inc. are sold pursuant to a shipment contract. Accordingly, Franco Foods Inc. assumes no liability for any loss, damage, or delay that may occur during the shipping process. Risk of loss or damage transfers to the Customer upon delivery to the agreed-upon destination or, in the case of shipped orders, at the moment the Products are handed over to the carrier.

If Franco Foods Inc. arranges or facilitates shipping on behalf of the Customer, any additional insurance or shipping costs incurred to protect the shipment will be transferred to and charged to the Customer.

6.5 Inspection: Customers must inspect Products upon receipt and report any discrepancies, damages, or defects within 24 hours of delivery. Failure to do so may waive the Customer’s right to claim replacements or refunds.

6.6 Delivery Fees: Additional charges for expedited shipping, special handling, or deliveries outside standard routes may apply and will be communicated in advance.

7. Returns and Refunds Policy

7.1 General Policy: Due to food safety and liability concerns, Franco Foods Inc. does not accept returns of perishable food products. This policy is in place to protect the health and safety of our consumers.

7.2 Non-Perishable Products: Non-perishable products may be eligible for return within seven (7) days of delivery, provided they are unused, unopened, in their original packaging, and accompanied by a valid receipt or proof of purchase. Prior authorization from Franco Foods Inc. is required for all non-perishable returns. Please contact us with your order number and details of the item you wish to return. Upon receipt and inspection of the returned product, we will notify you via email regarding the approval or denial of your refund request. If approved, a credit will be applied to your original method of payment within a few business days. Return shipping costs for non-perishable items are the responsibility of the customer, unless the return is due to an error by Franco Foods Inc. If a return is authorized, ship the item to: Urb. 7.3 Refunds for Non-Perishable Products: Once your returned non-perishable item is received and inspected, we will notify you of the approval or rejection of your refund. Approved refunds will be credited to your original method of payment or issued as account credit at Franco Foods Inc.'s discretion. Please allow approximately four (4) weeks from the date you ship the return for the refund to be processed, which includes transit time, processing at our facility, and processing by your financial institution.

7.4 Perishable Food Products - Refunds Only (No Returns): While we do not accept returns of perishable food products, refunds or replacements (at our discretion) may be offered under the following limited circumstances: The product was past its expiration date upon delivery. The product was significantly damaged, defective, or contaminated upon arrival. The product received was not what you ordered. Important: If you believe you are eligible for a refund or replacement for a perishable item under these conditions, you must contact us at mail.francofoods@gmail.com within seven (7) days of receiving your order. Requests received after this timeframe will not be eligible. When contacting us, please provide the following: Your order number. A clear photograph of the product and any packaging codes, proof of purchase. A detailed description of the issue. Unsolicited returns of perishable food products will not be accepted, and we are not responsible for any associated shipping costs.

7.5 All Products - Important Considerations: Customers are responsible for storing all products, including perishable items, in accordance with any provided guidelines (e.g., temperature controls). Franco Foods Inc. is not liable for spoilage or damage due to improper storage after delivery. We take precautions to minimize damage during shipping; however, minor breakage of food items during transit may occasionally occur and will not qualify for a refund or replacement.

Please note: No refunds or exchanges will be issued for the following reasons:

  • Change of mind or preference

  • Products not in their original condition

  • Incorrect orders placed by the customer.

  • Items purchased on sale or promotion.

  • Products not purchased directly from Franco Foods Inc. (please contact the original point of sale with a valid receipt)

Delivery times for exchanged products may vary depending on your location.

7.6 Non-Refundable/Non-Returnable Items: The following items are non-refundable and non-returnable, except where explicitly stated for perishable goods in Section 7.4: Perishable food products (subject to the exceptions in Section 7.4). Products not in their original condition or packaging (for non-perishable returns). Products where the packaging has been opened or tampered with (for non-perishable returns, unless defective). Incorrect orders placed by the customer. Items purchased on sale or promotion (unless defective upon arrival). Products not purchased directly from Franco Foods Inc. (please contact the original point of sale). Change of mind or preference.

7.7 Return Shipping: For authorized returns of non-perishable products (unless due to Franco Foods Inc.'s error), the customer is responsible for all return shipping costs. These costs are non-refundable.

7.8 Refund Processing (All Approved Refunds): Refunds will be processed to the original method of payment. Please allow a reasonable processing time after approval.

7.9 Exchanges: Exchanges are typically only offered for non-perishable items that are defective or sent in error. If an exchange is approved, it will be for the same item only. Please indicate your preference for an exchange when contacting us.

8. Warranties and Liability

8.1 Limited Warranty: Franco Foods Inc. warrants that all Products sold will conform to the specifications and descriptions provided in the official order confirmation and will be free from material defects at the time of delivery. This warranty does not extend to issues resulting from improper handling, storage, or use by the Customer after delivery.

Franco Foods Inc. delivers its products, administrative operations, and digital services—including but not limited to its corporate website—on an “as is” and “as available” basis. All use of these services is at the user’s own risk. Franco Foods Inc. makes no express or implied warranties regarding the reliability, availability, suitability, or accuracy of its services, content, or systems.

While the company is committed to maintaining accurate and up-to-date product and service information across its platforms, it cannot guarantee that its digital tools—including the website—will operate without interruptions, errors, or exposure to harmful components such as viruses or other technical threats. Users are solely responsible for any consequences arising from the use, access, or download of content from any Franco Foods Inc. system.

Franco Foods Inc. disclaims responsibility for any issues related to third-party links, content, advertisements, or services that may be accessed through its digital platforms. The company is not affiliated with, nor does it endorse, any third-party entities, and it shall not be held liable for any transactions, disputes, or damages resulting from such external interactions.

Additionally, Franco Foods Inc. cannot guarantee compatibility of its administrative tools, website, or digital services with specific devices, operating systems, or browsers. The company assumes no liability for service interruptions, access issues, or technical limitations arising from such incompatibilities.

All disclaimers are enforceable only to the extent permitted by applicable law.

8.2 Limitation of Liability: To the fullest extent permitted by applicable law, Franco Foods Inc. — including its subsidiaries, affiliates, officers, directors, agents, partners, suppliers, and employees— shall not be held liable for any direct, indirect, incidental, punitive, special, consequential, or exemplary damages arising out of or in connection with your access to, use of, or inability to use our services. This includes, but is not limited to, damages for loss of profits, goodwill, data, or other intangible losses.

Specifically, we disclaim liability for:

  • Any damages resulting from unauthorized access, hacking, tampering, or other security breaches involving your account or personal information.

  • Errors, inaccuracies, or omissions in the content provided through the service.

  • Personal injury or property damage arising from the use of our service.

  • Unauthorized access to, or use of, our secure servers and the personal or financial information stored therein.

  • Any interruption, suspension, or termination of service transmission.

  • Transmission of viruses, malware, trojan horses, or other harmful code through the service.

  • Defamatory, offensive, or unlawful conduct by users or third parties.

  • Any other losses or damages arising from content posted, transmitted, or otherwise made available through the service.

Under no circumstances shall the total liability of Franco Foods Inc. to you for any and all claims, damages, losses, and causes of action arising out of or related to these Terms or our products/services, whether in contract, tort (including negligence), strict liability, or otherwise, exceed the lesser of: (a) the total amount paid by you to Franco Foods Inc. during the twelve (12) months immediately preceding the date the cause of action accrues; or (b) the total amount paid by you to Franco Foods Inc. over the term of the agreement(s) under which the claim arises. This limitation of liability shall not apply to the extent prohibited by applicable law.

This limitation of liability applies regardless of the legal theory upon which liability is based, whether in contract, tort (including negligence), strict liability, or otherwise—even if we have been advised of the possibility of such damages.

Please note that certain jurisdictions do not permit the exclusion or limitation of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. You may have specific legal rights depending on your jurisdiction, and the disclaimers, exclusions, and limitations of liability set forth herein shall apply only to the extent permitted by law.

8.3 Indemnification: By accessing and using the service, you agree to defend, indemnify, and hold harmless Franco Foods Inc., along with its subsidiaries, affiliates, officers, directors, agents, partners, suppliers, and employees, from any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the service, including any data or content transmitted or received.

  • Any violation of these Terms, including breaches of any representations or warranties.

  • Infringement of any third-party rights, including intellectual property or privacy rights.

  • Violations of any applicable laws, regulations, or statutes.

  • Content submitted through your account or unauthorized access to your account via username, password, or other credentials, including inaccurate, misleading, or false information.

  • Any willful misconduct on your part; and

  • Any statutory violation by you or any individual acting on your behalf, to the extent allowed by law.

8.4 Severability: If any provision of these Terms of Service is found to be unlawful, void, or unenforceable, that provision shall still be enforced to the maximum extent allowed by applicable law. The portion deemed unenforceable will be considered severed from these Terms, and this determination will not impact the validity or enforceability of the remaining provisions.

Disclaimer: Except as expressly stated, Franco Foods Inc. makes no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

9. Force Majeure

Franco Foods Inc. shall not be held liable for any delay or failure to perform its obligations under these Terms and Conditions if such delay or failure results from events beyond its reasonable control. These events include, but are not limited to:

  • Acts of God (e.g., hurricanes, earthquakes, floods)

  • Natural disasters

  • Fires or explosions

  • Epidemics, pandemics, or public health emergencies

  • War, acts of terrorism, civil unrest, or military action

  • Labor disputes, strikes, or lockouts.

  • Supply chain disruptions or transportation delays

  • Government actions, embargoes, or changes in laws or regulations

  • Power outages, internet, or communication failures

In any such event, Franco Foods Inc. will make reasonable efforts to mitigate the impact and resume performance as soon as feasible. The suspension of obligations under this clause will continue for the duration of the force majeure event.

10. Confidentiality and Privacy

10.1 Confidentiality: Any proprietary information shared between Franco Foods and the Customer, including pricing, product specifications, or business practices, shall be treated as confidential and not disclosed to third parties without prior written consent, except as required by law.

10.2 Cookies: This website uses cookies to improve user experience. By continuing to use our site, you agree to our use of cookies as outlined in our Privacy Policy (section 1.4)

10.3 Privacy: Our Privacy Policy explains how we collect, use, and protect your personal information shall be governed by and construed in accordance with the laws of the United States, including applicable federal regulations such as the Federal Trade Commission Act (FTC Act), the Children’s Online Privacy Protection Act (COPPA), and other relevant statutes. Where applicable, this Policy also adheres to state-specific privacy laws, including but not limited to the California Consumer Privacy Act (CCPA), California Privacy Rights Act (CPRA), Virginia Consumer Data Protection Act (VCDPA), Colorado Privacy Act (CPA), Connecticut Data Privacy Act (CTDPA), and Utah Consumer Privacy Act (UCPA). The Privacy Policy is incorporated into these Terms by reference.

Franco Foods Inc. also complies with all applicable federal privacy regulations of the Commonwealth of Puerto Rico. In addition, we adhere to the data protection and breach notification requirements under Puerto Rico Law. Franco Foods Inc. complies with all privacy laws in jurisdictions where it conducts business or collects personal information.

We do not knowingly collect personal information from children under the age of 13. If we become aware that we have collected such information without parental consent, we will take steps to remove the information promptly.

11. Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

Franco Foods Inc. may terminate any agreement or suspend services with immediate effect if the Customer:

  • Fails to make timely payments.

  • Breaches these Terms.

  • Becomes insolvent or files for bankruptcy.

Upon termination, all outstanding payments become immediately due, and the Customer must return any Products not yet paid for.

12. Governing Law and Dispute Resolution

12.1 Governing Law: These Terms of Service and any separate agreements whereby Franco Foods Inc. provides products or services are governed by and construed in accordance with the laws of The Commonwealth of Puerto Rico, excluding its conflict of law principles. The Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions herein.

12.2 Dispute Resolution: Any disputes arising under these Terms shall first be addressed through good-faith negotiations. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Puerto Rico, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

Exceptions apply for small claims that qualify for small claims court.

  • Governing Law: The Federal Arbitration Act and federal arbitration law apply.

  • Arbitration Process: Either party may initiate arbitration by written notice. Proceedings will be handled by the American Arbitration Association (AAA) in accordance with their rules, including those for consumer-related disputes.

  • Costs: With respect to any claim for monetary damages of less than ten thousand U.S. dollars (\$10,000.00), Franco Foods Inc. will pay the administrative fees and arbitrator fees charged by the AAA. However, if the arbitrator finds that the claimant’s claim was frivolous or brought in bad faith, the claimant shall be responsible for their portion of such fees. For all other claims, the costs of arbitration, including administrative fees and arbitrator fees, shall be borne as determined by the arbitrator.

  • Venue: Arbitration may occur by phone, written submissions, or in person (in the user’s county or another mutually agreed location).

  • Limitations: Arbitration must be conducted on an individual basis—class actions, collective claims, or representative proceedings are not permitted.

  • Court Exceptions: Both parties reserve the right to bring legal action in court solely for the purpose of enforcing intellectual property rights or seeking injunctive relief.

This agreement is governed by the laws of the Commonwealth of Puerto Rico, excluding conflict of law principles. If any part of the agreement is deemed invalid by a competent court, the remaining provisions will still apply. No waiver of any term is considered ongoing or applies to other terms. Franco Foods Inc. reserves the right to modify this agreement, including the Privacy Policy, at any time. While efforts may be made to provide 30 days’ advance notice for significant changes, modifications become effective once posted on the website. Users are encouraged to review the terms regularly to stay informed.

13. Common Provisions

13.2 Amendments: Franco Foods Inc. may update these Terms at any time by posting the revised version on its website (https://francofoodsinc.com) or notifying Customers directly. Continued business with Franco Foods constitutes acceptance of the updated Terms.

13.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Assignment: We reserve the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these terms, considering your legitimate interests. Provisions about changes to these terms will apply accordingly. The Customer may not assign its rights or obligations under these Terms without Franco Foods Inc. prior written consent.

13.5 Service Reselling: The customer must refrain from reproducing, duplicating, copying, selling, or otherwise exploiting any portion of our website or its services without our express written consent, whether provided directly or through an authorized resale program.

13.6 Service Interruptions: Franco Foods Inc. reserves the right to temporarily interrupt or suspend services for maintenance, updates, or system changes, with prior notice when possible. We may also legally suspend or discontinue services and will support users in retrieving their personal data while honoring applicable rights and compensation. Additionally, service availability may be affected by circumstances beyond our control, such as infrastructure failures or power outages.
